TERMS AND CONDITIONS OF SALE

Applicable from September 22, 2020

Clause No. 1: Subject Matter and Scope

These general terms and conditions of sale (GTCS) form the basis of commercial negotiations and are systematically sent or handed to each buyer to enable them to place an order.

The general conditions of sale described below detail the rights and obligations of the company 9295-2951 Qc Inc. and its customer in connection with the sale of the following goods: On-line training and Hyperbaric clinic service.

 

Any acceptance of the quote/purchase order, including the clause «I acknowledge having read and I accept the attached general terms and conditions of sale,» implies the buyer’s unreserved adherence to the present general terms and conditions of sale.

 

Clause 2: Price

The prices of the goods sold are those in force on the day the order is taken. They are denominated in euros and calculated exclusive of tax. Consequently, they will be increased by the VAT rate and transport costs applicable on the day the order is placed.

 

9295-2951 Qc Inc. reserves the right to change its prices at any time. However, it agrees to charge for goods ordered at the prices indicated when the order was placed.

 

Clause 3: Discounts and rebates

The proposed rates include discounts and rebates that .9295-2951 Qc Inc. may grant based on its results or the buyer's assumption of certain services.

 

Clause 4: Discount

No discount will be granted for early payment.

 

Clause 5: Terms of payment

Orders are paid for:

  • or by cheque ;
  • or by credit card ;
  • Credit card;

Payments will be made under the following conditions:

  • Direct COD payment

or

  • Deferred payment according to payment agreement established on site at time of transaction.

Clause 6: Late payment

In case of total or partial non-payment of delivered goods by the due date, the buyer shall pay 9295-2951 Qc Inc. a late penalty equal to three times the legal interest rate.

The legal interest rate applied is the one in effect on the day of delivery of the goods.

As of January 1, 2015, the statutory interest rate will be revised every 6 months (Order No. 2014-947 of August 20, 2014).

This penalty is calculated on the amount of tax from the remaining sum due, and accrues from the due date of the price without any prior formal notice being necessary.

 

In addition to late payment penalties, any sum, including the deposit, not paid by the due date will automatically give rise to the payment of a fixed penalty of 40 euros due for collection costs.

 

Articles 441-10 and D. 441-5 of the French Commercial Code.

 

Clause 7: Resolutory clause

If within fifteen days of the implementation of the "Late Payment" clause, the buyer has not paid the amounts remaining due, the sale will be automatically terminated and may open the right to the allocation of damages in favor of the company 9295-2951 Qc Inc.

 

Clause 8: Retention of title clause

The company 9295-2951 Qc Inc. retains ownership of the goods sold until full payment of the price, in principal and accessories. As such, if the buyer is subject to bankruptcy proceedings or judicial liquidation, the company 9295-2951 Qc Inc. reserves the right to claim, within the collective proceedings, the unpaid goods sold.

 

Clause 9: Delivery

Delivery is made :

  • either by direct delivery of the goods to the buyer; ;
  • by sending a notice of availability at the store to the buyer; ;
  • either by depositing the goods at the location indicated by the buyer on the purchase order.

The delivery time indicated when the order is placed is for informational purposes only and is not guaranteed in any way.

Consequently, any reasonable delay in the delivery of the products shall not entitle the buyer to:

  • the award of damages ;
  • Order cancellation.

The risk of transportation is entirely borne by the buyer.

In case of missing or damaged goods during transport, the buyer must make all necessary reservations on the order form upon receipt of said goods. These reservations must also be confirmed in writing within five days of delivery, by registered mail with acknowledgment of receipt addressed to the company.

 

Clause 10: Force majeure

The company's liability ... (company name) cannot be invoked if the non-performance or delay in the performance of one of its obligations described in these general terms and conditions of sale results from a force majeure event. As such, force majeure means any external, unforeseeable, and irresistible event within the meaning of Article 1148 of the Civil Code.

 

Clause 11: Jurisdiction

Any dispute relating to the interpretation and execution of these general terms and conditions of sale shall be subject to French law.

Failing amicable resolution, the dispute will be brought before the Commercial Court of Longueuil, Qc, Canada.
